1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of [SITE NAME] (the "Platform"), operated by [LEGAL ENTITY NAME] ("we," "us," "our"). By creating an account, posting a job, applying to a job, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Platform.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

You must be at least 16 years old, or the minimum legal working age in your jurisdiction if higher, to create an account. By using the Platform, you represent that you meet this requirement and that all information you provide is accurate and current.

3. Accounts

3.1 Account types

The Platform offers two account types: Job Seeker accounts, for individuals searching for employment, and Employer accounts, for businesses and organizations posting job opportunities. Each account type is subject to the specific obligations set out in Sections 5 and 6 below.

3.2 Account security

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We are not liable for any loss arising from your failure to comply with this section.

3.3 Accuracy of information

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. We reserve the right to suspend or terminate accounts containing information we reasonably believe to be false, misleading, or fraudulent.

4. Job Postings

4.1 Employer responsibility for content

Employers are solely responsible for the accuracy, legality, and content of their job postings. By posting a job, you represent that:

  • The position is genuine and you have the authority to recruit for it
  • The posting does not violate applicable employment, anti-discrimination, or labor laws
  • The posting does not contain false, misleading, or deceptive information regarding compensation, job duties, or working conditions
  • The posting does not advertise pyramid schemes, multi-level marketing recruitment, unpaid positions disguised as paid roles, or any unlawful activity

4.2 Job posting credits and payment

Posting jobs on the Platform may require payment of a fee, as displayed at the time of posting. All fees are non-refundable except as required by law or expressly stated otherwise at the point of purchase. We reserve the right to change our pricing at any time; changes will not affect job postings already paid for.

4.3 Removal of postings

We reserve the right, at our sole discretion, to remove, edit, or decline to publish any job posting that violates these Terms, applicable law, or that we otherwise deem inappropriate for the Platform, without obligation to provide a refund.

5. Job Seeker Obligations

As a job seeker, you agree that:

  • All information in your profile, resume, and applications is truthful and accurate
  • You will only apply to positions for which you genuinely intend to be considered
  • You will not use the Platform to harass, spam, or send unsolicited commercial messages to employers
  • You will not misrepresent your identity, qualifications, or work history
  • Documents you upload (resumes, cover letters, portfolios) do not infringe any third party's intellectual property rights

6. Employer Obligations

As an employer, you agree that:

  • You will not discriminate against applicants on any basis prohibited by applicable law
  • You will use applicant information obtained through the Platform solely for legitimate recruitment purposes related to the specific position applied for
  • You will not share, sell, or otherwise distribute applicant data to third parties without the applicant's consent
  • You will respond to applicants in good faith and will not use the messaging feature to send unsolicited marketing, recruitment for unrelated roles, or spam
  • You will maintain the confidentiality of applicant information consistent with applicable data protection law
  • Any company logo, branding, or content you upload does not infringe any third party's intellectual property rights

7. Messaging Conduct

The Platform's messaging feature is provided to facilitate communication directly related to a specific job application. Messages may be subject to rate limits or other restrictions to prevent abuse. You agree not to use messaging to send harassing, threatening, discriminatory, or unlawful content. We reserve the right to suspend messaging access or terminate accounts that violate this section.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or our systems
  • Scrape, harvest, or collect data from the Platform using automated means without our prior written consent
  • Upload viruses, malware, or other malicious code
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the operation of the Platform or servers/networks connected to it
  • Use the Platform to post or transmit content that is defamatory, obscene, or otherwise objectionable

9. Intellectual Property

9.1 Our content

The Platform, including its design, logos, text, graphics, and underlying software, is owned by us or our licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without our prior written consent.

9.2 Your content

You retain ownership of the content you upload (resumes, job postings, company profiles, messages, etc.). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit that content as necessary to operate and provide the Platform's features, including making job seeker application materials visible to the relevant employer.

10. Third-Party Services

The Platform integrates with third-party services, including Google (for sign-in), Supabase (for data storage), our email provider, and our payment processor. Your use of these integrations is also subject to the respective third party's terms of service and privacy policy. We are not responsible for the practices or content of third-party services.

11. No Guarantee of Employment or Hire

We are a platform that connects job seekers and employers; we are not a party to any employment relationship formed as a result of using the Platform, and we do not guarantee that any job seeker will be hired or that any employer will successfully fill a position. We do not verify the employment eligibility, background, or qualifications of job seekers, nor do we verify the legitimacy of every employer or job posting beyond our standard review processes. Users are responsible for conducting their own due diligence.

12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) [INSERT NOMINAL CAP, E.G. $100 USD].

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party, including but not limited to claims arising from job postings you create or applications and content you submit.

15. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or for any other reason at our discretion, including discontinuation of the Platform.

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 9, 12, 13, 14, and 17) will continue to apply.

16. Changes to the Platform and These Terms

We may modify, suspend, or discontinue any part of the Platform at any time, with or without notice. We may also update these Terms from time to time; the "Last updated" date at the top of this page will reflect the most recent revision. For material changes, we will provide reasonable notice, such as an email to registered users or a notice on the Platform, before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Saint Lucia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Saint Lucia, and you consent to the personal jurisdiction of such courts.

18. General Provisions

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
  • No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
